These terms govern access to suyotech.com, Suyotech portals and related services. By using the website, creating an account, submitting an inquiry or accepting a quotation, you agree to these terms. A signed proposal, quotation, statement of work or service agreement may contain additional terms and will control for that project if there is a conflict.
Accounts and acceptable use
You must provide accurate information, protect login credentials and promptly report suspected unauthorised access. You must not probe, overload, scrape abusively, bypass access controls, upload malicious material, misuse another person's account or use the service for unlawful activity.
Services and project scope
Scope, deliverables, assumptions, milestones, review rounds, timeline, fees and support are defined in the accepted quotation or project document. Estimates may change when requirements change, information is delayed, third-party systems change or new work is requested. Scope changes may require a revised price and delivery date.
Client responsibilities
You are responsible for timely requirements, lawful source materials, access credentials provided for development, review feedback, approvals, testing in your environment and ensuring that your intended use complies with law and third-party platform terms.
Fees, invoices and taxes
Fees and payment milestones are stated in the applicable quotation or invoice. Unless expressly stated otherwise, third-party costs such as hosting, domains, market data, broker fees, platform subscriptions and licences are separate. Taxes, if applicable, will be handled according to the invoice and applicable law.
Intellectual property
Each party retains ownership of its pre-existing materials, tools, libraries and know-how. Ownership or licence rights in project-specific deliverables transfer only as stated in the applicable agreement and after agreed payments are received. Open-source and third-party components remain subject to their own licences.
Trading technology disclaimer
Algorithmic-trading, TradingView, MT4, MT5, broker-integration and strategy-development services provide software implementation—not investment advice, brokerage, portfolio management or a promise of profit. Backtests and examples do not guarantee future results. You remain responsible for strategy decisions, broker accounts, regulatory obligations, testing, supervision and trading losses.
Availability and third parties
We aim to provide reliable services but do not guarantee uninterrupted access. Broker APIs, exchanges, cloud providers, messaging services and other third parties are outside our control and may change, suspend or fail.
Confidentiality and portfolio use
We will treat non-public project information with reasonable care. We will not publicly identify a confidential client or disclose confidential project details without permission. Any portfolio use will follow the applicable agreement or client approval.
Liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses. Suyotech is not responsible for trading losses, lost profits, third-party outages or misuse of delivered software. Any project-specific liability limits in an accepted agreement will apply. Nothing in these terms excludes rights or liability that cannot lawfully be excluded.
Termination and disputes
We may suspend access for security threats, non-payment or material misuse. Either party may end a project according to its accepted agreement and the Refund Policy. These terms are governed by the laws of India; courts with applicable jurisdiction in Maharashtra will have jurisdiction, subject to mandatory consumer rights and any agreed dispute process.
